General Terms and Conditions of Business
FramePlus Display Inc.

§1 Scope
(1) These General Terms and Conditions apply exclusively to contracts concluded
with entrepreneurs and business customers (hereinafter "Buyer" or "You") who
order products offered by FramePlus Display Inc. for purposes relating to their
commercial or self-employed professional activity, or within the scope of their
public or official duties.

(2) These Terms and Conditions also apply to future business relationships, even
if not expressly agreed upon again. Any deviating or supplementary general terms
and conditions of the Buyer are hereby expressly rejected; they shall only become
part of the contract if explicitly agreed to by us in writing.

§2 Conclusion of Contract
(1) The presentation of products in our online shop does not constitute a legally
binding offer, but rather a non-binding online catalogue.

(2) A binding offer is made by clicking the designated order button on our
website. A contract is only concluded upon our acceptance. Automated order
confirmations do not constitute acceptance.

(3) Acceptance occurs only when we send a formal order confirmation by email or
in writing. The Buyer is obligated to review the order confirmation immediately
upon receipt and report any discrepancies without delay.

(4) Alternatively, we may provide a binding offer in response to an inquiry via
telephone, email, or in writing. A contract is then concluded upon the Buyer's
written acceptance, followed by our order confirmation.

(5) Any subsequent changes to the contract must be confirmed with a new order
confirmation to become effective.

(6) Contracts may be concluded in English or German.

§3 Performance
(1) FramePlus products are modular display systems. Specific performance
obligations result from the individual order.

(2) Printed materials produced by us are reusable if handled in accordance with
the applicable product description.

(3) Deviations in structure, color, and/or brightness compared to previous orders
are permissible to the extent they are inherent in the materials used,
commercially customary, and technically unavoidable.

(4) Our printed materials are designed specifically for use with FramePlus system
frames and may not be compatible with third-party frame systems.

§4 Obligation to Cooperate for Print Orders
(1) The Buyer is obligated to provide all information necessary for the creation
of prints used in the modular systems.

(2) Submission of the following constitutes print approval without further
confirmation:
- Order number
- Buyer name and customer number
- Print files in PDF, JPG, or TIFF format, including assignment to items in the
order confirmation, scale information, and notes on special colors
- If applicable, information on motifs spanning multiple frames, including a
labeled preview file

§5 Delivery Conditions
(1) Unless otherwise agreed, delivery is at the Buyer's expense and risk, even
if we cover shipping costs. Any applicable customs duties are borne by the Buyer.

(2) Risk transfers to the Buyer when the shipment leaves our premises or is
handed over to the carrier. We are not liable for damages or loss occurring after
transfer of risk.

(3) We may arrange transport insurance at the Buyer's cost but are not obligated
to do so.

(4) Where we voluntarily assist with customs clearance, we assume no liability
for the process. Clearance is handled by a third-party customs service provider.

§6 Delivery Time
(1) Delivery periods begin at the earliest upon dispatch of the order
confirmation.

(2) For print orders, the delivery period begins only once all required print
information has been received in accordance with §4.

(3) In the event of contract amendments, the delivery date stated in the new
order confirmation applies. Verbal delivery commitments are not binding.

(4) If performance is temporarily impossible or significantly impeded due to
force majeure — including but not limited to transport disruptions, supply chain
delays, or raw material shortages — the delivery period shall be extended
accordingly.

§7 Payment
(1) Available payment options include credit card, PayPal, and advance payment.
Additional payment methods may be offered at checkout subject to eligibility.

(2) Invoices are due upon receipt unless otherwise agreed in writing.

(3) In the event of payment default, we reserve the right to charge statutory
default interest and suspend further deliveries until outstanding amounts are
settled.

§8 Retention of Title
(1) All delivered goods remain the property of FramePlus Display Inc. until full
payment has been received.

(2) Title is retained until all claims arising from the ongoing business
relationship have been settled in full.

(3) Reserved goods must be handled with care. Prior to transfer of ownership,
pledging or transferring goods as collateral is not permitted.

(4) The Buyer may resell goods in the ordinary course of business. Claims arising
from such resale are assigned to us in advance up to the invoice amount, and we
accept this assignment.

§9 Warranty
(1) The Buyer must inspect delivered goods immediately upon receipt for
completeness, visible defects, damage, and correct quantities. Complaints must
be submitted within one week of delivery. Hidden defects must be reported
immediately upon discovery.

(2) In the event of a defect, we will at our discretion provide rectification or
a replacement. If subsequent performance fails twice, the Buyer may request a
price reduction or withdraw from the contract.

(3) The warranty period is one year from the date of delivery.

(4) Unless otherwise stated, printed products are excluded from additional
guarantees.

§10 Liability
(1) We are fully liable for intent, gross negligence, and claims under applicable
product liability law. We are also liable for damages resulting from injury to
life, body, or health caused by slight negligence.

(2) In all other cases, liability for slight negligence is limited to breaches of
essential contractual obligations (cardinal duties), and in such cases is capped
at foreseeable damages typical for the contract type.

§11 Online Dispute Resolution

We are not obligated to participate in dispute resolution proceedings before a
consumer arbitration board.

§12 Final Provisions
(1) Should any provision of these Terms be or become invalid, the remaining
provisions shall remain unaffected.

(2) All contracts are subject to the laws of the State of California, USA.
The UN Convention on Contracts for the International Sale of Goods (CISG) is
excluded.

(3) The place of jurisdiction for all disputes is Irvine, California, USA,
to the extent permitted by applicable law.

(4) The place of performance is Irvine, California, USA.
